These Terms of Service ("Terms") govern your access to and use of 273HQ, a product of FrostWave Technologies, LLC ("FrostWave Technologies," "we," "us," or "our"). By creating an account or otherwise using 273HQ (the "Service"), you agree to these Terms. If you don't agree, please don't use the Service.
273HQ connects to the QuickBooks Online and Xero files you authorize, watches the vendor list for risky changes (such as new bank details, email, phone or address, lookalike vendors and duplicate bills), and helps you verify each flagged change before a payment is made. Features, pricing, and availability described on this site or in the app may change over time.
You must be at least 18 years old and able to form a binding contract to use 273HQ. You're responsible for the accuracy of the information you provide when registering, for keeping your login credentials secure, and for all activity that happens under your account. Notify us right away at info@273hq.com if you suspect unauthorized use of your account.
273HQ uses Auth0 for authentication. Depending on how your organization is configured, an account owner may invite additional users (e.g., an Administrator or Reviewer role) to a company's account, and different roles may have different permissions within the Service.
273HQ offers a Free plan and paid subscription plans, priced per connected accounting file. Paid subscriptions are billed through Stripe, our payment processor - we don't store your full card number ourselves. By subscribing to a paid plan, you authorize us (via Stripe) to charge your payment method on a recurring basis until you cancel.
You can change plans or cancel at any time from the Billing page or Stripe's Billing Portal. Upgrades and downgrades are prorated against your current billing period. If you cancel, you keep access through the end of your current billing period, after which your account reverts to the Free plan. We don't provide refunds for partial billing periods except where required by law.
273HQ connects to third-party services you choose to authorize, including but not limited to QuickBooks Online and Xero. Your use of those services is governed by their own terms and privacy policies, not ours. We aren't responsible for outages, data inaccuracies, or changes made by those third parties that affect 273HQ's functionality, and we may need to adjust or temporarily disable an integration if a third-party provider changes its API or terms.
You agree not to: misuse the Service to violate any law; attempt to gain unauthorized access to other accounts, our systems, or connected third-party services; reverse-engineer or interfere with the Service's normal operation; or use the Service to store or transmit anything unlawful, infringing, or harmful.
You retain ownership of the business, vendor, and accounting data you connect to or enter into 273HQ. You grant us a license to use that data solely to operate, maintain, and improve the Service on your behalf. See our Privacy Policy for details on how we collect, use, and protect data.
The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including fitness for a particular purpose, merchantability, or non-infringement. Because 273HQ depends on data from third-party services such as QuickBooks Online and Xero, 273HQ may not detect every fraudulent or erroneous change, and its alerts are not a guarantee against fraud or loss. You remain responsible for verifying vendors and approving payments, and should not rely on 273HQ alone for financial, tax, or audit decisions.
To the fullest extent permitted by law, FrostWave Technologies won't be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us in the twelve (12) months before the claim arose.
You may stop using the Service and cancel your account at any time. The account Owner can also delete the account from Account Settings. Deleting cancels your subscription immediately, with no refund for the current billing period, and your data is then deleted on the schedule described in our Privacy Policy (a 30-day grace period, unless you choose immediate deletion). We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the Service, with notice where reasonably possible.
We may update these Terms from time to time, for example as 273HQ adds features or changes plans. We'll update the "Last updated" date above when we do, and material changes will be communicated to registered users. Continued use of the Service after a change means you accept the updated Terms.
These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-law principles.
